1. Acceptance of Terms

By accessing or using the Gorilla Cat platform ("Platform"), website at gorillacat.co, and related services provided by Gorilla Cat Sdn Bhd ("Gorilla Cat", "we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use our services.

2. Description of Services

Gorilla Cat operates a creator marketing marketplace and affiliate network that:

• Connects content creators with brands and sellers across TikTok and Shopee.
• Provides a campaign directory for creators to discover affiliate opportunities.
• Facilitates affiliate link generation and performance tracking.
• Offers AI-powered operations and communication via our agent, Garvis.
• Provides performance analytics dashboards and creator scoring.
• Manages sample request approvals and campaign coordination.

3. Eligibility

• You must be at least 18 years of age to register as a creator or seller on the Platform.
• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• Sellers must have a valid TikTok Shop or Shopee seller account.
• Creators must have an active TikTok or Shopee affiliate presence.

4. Creator Terms

4.1 Creator Network

• By joining the Gorilla Cat creator network, you agree to participate in campaigns in good faith.
• You must create original content that complies with platform guidelines (TikTok, Shopee) and applicable laws.
• You must not engage in fraudulent activity, including fake engagement, click fraud, or misrepresentation of performance.
• Your creator score is determined by our proprietary scoring system based on performance metrics. Scores affect campaign eligibility and sample approvals.

4.2 Affiliate Links and Commissions

• Affiliate links generated through the Platform are subject to the terms of the respective platform (TikTok or Shopee).
• All commissions are paid by the respective platforms. Gorilla Cat does not directly process creator payments.
• Commission rates, payment schedules, and terms are determined by the platforms and respective campaigns.
• Gorilla Cat is not liable for delays or disputes in commission payments handled by TikTok or Shopee.

4.3 Samples

• Sample approvals are processed based on creator scores and performance data.
• Receiving a sample constitutes a commitment to create content for the associated campaign within the specified timeframe.
• Failure to fulfil sample commitments may negatively impact your creator score.

5. Seller Terms

• Sellers may list campaigns and products for creator promotion through the Platform.
• Campaign details (commission rates, product information, briefs) must be accurate and current.
• Sellers are responsible for fulfilling sample shipments approved through the Platform.
• Gorilla Cat reserves the right to remove campaigns or sellers that violate these terms or platform guidelines.
• Seller access to AI-powered tools (Garvis) is subject to usage limits as determined by your subscription tier.

6. AI Agent (Garvis) Terms

• Garvis is an AI assistant that facilitates communication and operations. Responses generated by Garvis are provided "as is" and should not be considered professional, legal, or financial advice.
• You agree not to attempt to manipulate, exploit, or misuse the AI agent.
• Conversations with Garvis may be monitored and logged for quality assurance and service improvement.
• Gorilla Cat is not liable for actions taken based on AI-generated responses.

7. Intellectual Property

• The Gorilla Cat name, logo, branding, and platform design are the intellectual property of Gorilla Cat Sdn Bhd.
• Creators retain ownership of their original content. By participating in campaigns through the Platform, you grant Gorilla Cat a non-exclusive, royalty-free licence to use performance data and anonymised analytics for platform improvement and reporting.
• You may not reproduce, distribute, or create derivative works from our platform without written permission.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws.
• Impersonate another person or misrepresent your affiliation.
• Interfere with or disrupt the Platform or its infrastructure.
• Attempt to gain unauthorised access to any part of the Platform.
• Scrape, crawl, or use automated tools to extract data from the Platform without permission.
• Use the Platform to distribute spam, malware, or harmful content.
• Manipulate performance metrics, scores, or rankings through fraudulent means.

9. Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary for the protection of the Platform and its users. You may also request account deletion by contacting us at info@gorillacat.co.

10. Disclaimers

• The Platform is provided "as is" and "as available" without warranties of any kind.
• We do not guarantee any specific earnings, campaign results, or performance outcomes.
• We are not responsible for the actions, products, or services of third-party platforms (TikTok, Shopee) or their sellers.
• Performance data and analytics are provided for informational purposes and may not be 100% accurate at all times.

11. Limitation of Liability

To the maximum extent permitted by Malaysian law, Gorilla Cat Sdn Bhd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you (if any) in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Gorilla Cat Sdn Bhd, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Malaysia.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
